Purpose

Dentcare Dental Lab Private Limited (‘Dentcare’, or ‘the Company’) has been very enthusiastically involving in many CSR initiatives ever since our incorporation. Along with sustained economic performance, environmental and social stewardship is also a key factor for holistic business growth. Dentcare CSR Policy intends to strive for economic development that positively impacts the society at large with minimal resource footprints.

This policy is in compliance of Section 135 of the Companies Act. 2013 and the Companies (Corporate Social Responsibility Policy) Rules, 2014.

This document aims at apply the DentCare philosophy for the betterment of the society in discharging its duties as a corporate citizen. DentCare philosophy gives due importance to work for the development of the society and instil divine values in each of the employees to become socially responsible.

This policy will be applicable to all CSR initiatives extending to different strata of the society with a special focus on deprived sections of the society.

DentCare CSR : Statement of Objectives

DentCare CSR resolves to take CSR initiatives in order to develop a value-based society and promote a sustained growth, in fulfilment of its responsibility as a corporate citizen.

Bring together all the stakeholders to participate actively in the overall development and well-being of the peripheral community within which it operates.

Take up programmes that enhances the quality of life of the communities for a long span of years consistently.

Balance environmental sustainability through the implementation of eco-friendly techniques that would ensure development and growth of environment and the organization hand-in-hand.

Resources

Dentcare will undertake its CSR activities, approved by the CSR Committee. The surplus arising out of CSR activities shall not form part of business profits of the Company (Clause - A)

DentCare will be allocating 2% of its average “Net Profit” of immediately preceding three financial years.

The calculation of “Net Profits” for the purpose of clause (A) shall be made in compliance with the provisions of Section 135 of the Companies Act 2013 read together with the Companies (Corporate Social Responsibility Policy) Rules, 2014.

Allocation of the Annual Budget for CSR activities in any given year will not be less than the limit specified in clause (A)

Focus Areas

Companies Act 2013 has listed out various activities as focus areas. DentCare will focus on the following areas:

Eradication of extreme hunger, poverty and malnutrition, increased preventive healthcare and sanitation and making safe drinking water available.

Reinforcing the rural areas by improving accessibility, housing, drinking water, sanitation and thereby creating sustainable villages.

Initiating steps for providing education, including special education and employment enhancing courses among economically backward children, women, and livelihood enhancement projects; monetary contributions to academic institutions.

Ensuring gender equality and empowering women, setting up homes, hostels and day-care centres for women and orphans; adopting measures to eliminate inequalities faced by socially and economically backward groups.

Maintaining ecological balance, protecting flora and fauna, animal welfare, agro-forestry, conservation of natural resources and maintaining the quality of soil, air and, water.

Composition of CSR Committee

The CSR Committee consist of the following directors:

Responsibilities of the Committee

Formulating and recommending to the Board the CSR Policy and indicating activities to be undertaken;

Recommending the cost to be undertaken to be borne for the activities;

Monitor the DentCare CSR Policy and the CSR activities from time to time; and

Submit a CSR report to the Board of Directors at the end of the financial year.

Effective Date

This policy is effective from April 1, 2018.
